1. Agreement to Terms

By accessing and using the services provided by EchoGlobal OÜ ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

EchoGlobal OÜ provides computer programming services, including but not limited to:

• Custom software development
• Web application development
• Mobile application development
• Database design and optimization
• Software consulting services

3. Use of Services

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of any account information and for all activities that occur under your account.

3.3 Prohibited Uses

You may not use our services:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information

4. Service Agreements

4.1 Project Scope

Each project will be governed by a separate written agreement detailing the scope of work, deliverables, timelines, and payment terms.

4.2 Changes to Scope

Any changes to the agreed project scope must be documented in writing and may result in additional charges and timeline adjustments.

5. Payment Terms

5.1 Fees

Payment terms will be specified in individual project agreements. Unless otherwise agreed, payment is due within 30 days of invoice date.

5.2 Late Payment

Late payments may incur additional charges as specified in the project agreement.

5.3 Refunds

Refund policies will be outlined in individual project agreements and may vary based on the nature of the services provided.

6. Intellectual Property Rights

6.1 Client Materials

You retain ownership of all materials, content, and information you provide to us.

6.2 Developed Solutions

Unless otherwise agreed in writing, ownership of custom-developed software and solutions will be transferred to the client upon full payment.

6.3 Pre-existing IP

We retain ownership of all pre-existing intellectual property, methodologies, and general knowledge used in providing our services.

7. Confidentiality

We will maintain the confidentiality of all proprietary information shared by clients during the course of our engagement, except as required by law or with your written consent.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards.

8.2 Disclaimer

Except as expressly set forth herein, we make no warranties, expressed or implied, and hereby disclaim all other warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

In no event shall EchoGlobal OÜ be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

10. Indemnification

You agree to defend, indemnify, and hold harmless EchoGlobal OÜ from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of our services.

11. Termination

Either party may terminate a service agreement with written notice as specified in the individual project agreement. Upon termination, you will pay for all services rendered up to the date of termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on our website and updating the "last updated" date.

14. Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
